Singapore is one of the fastest places in the world to register a company and one of the slower ones to make it operational. Those two facts are not in conflict — they are the whole shape of the project. The registry is efficient; the banks and the immigration authority are careful.
What has to be true before you file
| Requirement | What it actually means |
|---|---|
| Company name | Reserved and approved by ACRA. Names that suggest a regulated activity, or that are already close to an existing mark, get referred or rejected. Have a second choice ready. |
| At least one resident director | Ordinarily resident in Singapore. A foreign founder on an Employment Pass can be that director once the pass is issued. |
| Shareholders | Individuals or corporate entities, foreign allowed in most sectors. A single shareholder is permitted. |
| Share capital | Minimum is nominal — one share. What matters is that the amount you declare is an amount you can actually fund and document when the bank asks. |
| Registered office | A real Singapore address, not a PO box. |
| Company secretary | A qualified person, appointed within the statutory window after incorporation. Cannot be the sole director. |
| Constitution | Can adopt the standard model; customised versions matter for share classes, pre-emption and exit mechanics. |
Filed through ACRA's electronic system, usually by a registered filing agent. Your KYC — passports, proof of address, and often a video or notarised call — is collected before filing, not after.
The order that works
Where foreign founders actually get stuck
The bank account is not a formality
A Singapore company without a Singapore bank account cannot pay salaries, collect from local customers or pay tax. Bank onboarding for a company whose shareholders and directors are all overseas has become significantly more demanding. Expect to explain, in writing, where the share capital came from and what the company will actually do. Expect to name the counterparties. Expect the bank to want a local presence or a relationship introduction. A company that incorporates in week one and applies to a bank in week eight has already lost six weeks.
COMPASS is not a paperwork test
The Employment Pass is scored, and the score cares about the employer as much as the candidate: the ratio of local to foreign staff, the diversity of nationalities already employed, and whether the firm has been supporting local employment. A brand-new company with one foreign director and no local staff is structurally weak on several of those dimensions. This is why "incorporate now, apply for the pass later" often produces a company that exists but cannot be run by the person who owns it. The workable path is usually to build the local hiring plan and the pass application together, and sometimes to start with a different pass category or a different country entirely.
Nominee directors are legitimate but must be documented
Where a founder has not yet relocated, a licensed provider can supply a resident director to satisfy the residency requirement. This is normal practice. What is not normal is leaving the arrangement undocumented or open-ended. The agreement should state scope, liability, fees, and the conditions under which the nominee is replaced. A nominee with signing authority over bank accounts is a risk you should not accept casually.
Small companies still file
Annual return, financial statements, and a tax return are due whether or not the company traded. Audit exemptions exist for small private companies meeting the statutory criteria, but exemption from audit is not exemption from filing. The cheapest way to run a Singapore company badly is to let the first annual filing deadline pass unnoticed — the penalties are avoidable and the cleanup is not free.
A realistic budget frame
People compare incorporation fees and stop there. The number that matters is the annual run rate:
| Line | What drives it |
|---|---|
| Corporate secretary | Fixed annual fee, scales with complexity of share structure and number of resolutions |
| Accounting and tax filing | Transaction volume. A dormant company is inexpensive; a company with intercompany flows and stock is not |
| Audit | Required unless the small-company exemptions apply — check against the statutory tests, not against expectation |
| Resident director | Only if you use a nominee; not required once a resident founder holds the seat |
| Registered address | Small but non-zero; some providers bundle it with the secretary |
| Bank charges | Minimum balance or monthly fee, plus per-transaction costs on cross-border payments |
| Your own time | The most under-budgeted line. Someone has to chase documents in two time zones |
